Terms of Service

These Terms of Service (“Terms”) govern access to and use of the KramaAI business management system (“KramaAI BMS”), websites, and related services (collectively, the “Services”) provided by KramaAI (“KramaAI,” “we,” “us”). By using the Services, you agree to these Terms.
1. Services and license
KramaAI BMS is licensed software for operators of gyms, kids centers, studios, spas, and similar class-based businesses. Unless otherwise agreed in writing, we grant you a non-exclusive, non-transferable license to use the Services for your internal business operations during an active subscription or pilot period.
2. Accounts and acceptable use
You are responsible for credentials issued to your organization and for activity under those accounts. You will not misuse the Services, attempt unauthorized access, interfere with other users, or use the Services in violation of applicable law.
3. Customer data
You retain ownership of data you submit about your business, staff, and customers (including children’s program data where applicable). You grant us the rights necessary to host, process, and support the Services as described in our Privacy Policy and Data Processing Agreement.
4. Fees and trials
Commercial terms, including fees, implementation, and support levels, are set out in your order form or statement of work. Pilot or evaluation access may be limited in duration, features, or data volume as agreed in writing.
5. Confidentiality and security
Each party will protect the other’s confidential information using reasonable care. We implement administrative, technical, and organizational measures appropriate to the nature of the Services. No system is perfectly secure; you are responsible for configuring roles and permissions within your organization.
6. Disclaimers
Except as expressly stated in an agreement signed by both parties, the Services are provided “as is.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.
7. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability arising from the Services will not exceed the fees paid by you for the Services in the twelve (12) months preceding the claim, except where liability cannot be limited by law.
8. Term and termination
Either party may terminate for material breach not cured within thirty (30) days of written notice. Upon termination, your access ends and we will handle export or deletion of your data per the Data Processing Agreement and applicable law.
9. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, unless mandatory local law requires otherwise for consumers.
